Terms of Service
The rules of the road — what Script Unlock does, what it doesn't, and what we expect from each other.

The short version
- ✅ Script Unlock is a price comparison tool — not a pharmacy, not insurance, not a doctor.
- ✅ Pharmacy bids are non-binding estimates — final prices may change at fulfillment.
- ✅ You're never obligated to accept a bid. You're always in control.
- ✅ Patients use the platform for free. Pharmacies pay a participation fee.
- ✅ You must have a valid prescription from a licensed prescriber to use the upload feature.

1. What Script Unlock is (and isn't)
Script Unlock is a patient-directed marketplace that connects people who need prescriptions with licensed pharmacies willing to offer pricing. Think of us as a comparison tool — like a flight search engine, but for prescription medication prices.
What we are
- ✓ A platform that shows you pharmacy prices
- ✓ A secure way to share your Rx with pharmacies
- ✓ A neutral facilitator — we don't favor any pharmacy
- ✓ HIPAA-compliant infrastructure for health data
What we are NOT
- ✗ A pharmacy — we don't dispense medication
- ✗ An insurance company or PBM
- ✗ A healthcare provider — we don't give medical advice
- ✗ A party to the transaction between you and a pharmacy
This distinction matters: when you choose a pharmacy and they fill your prescription, that transaction is between you and the pharmacy. We helped you find each other, but we're not responsible for the pharmacy's services, medication quality, or fulfillment.
2. How bids work — and what they mean
When you upload a prescription, verified pharmacies can submit price quotes ("bids"). Here's what you need to know:

If a pharmacy's final price at fulfillment is materially different from their bid, we encourage you to report it. We track pricing accuracy and may remove pharmacies that consistently misrepresent prices.
3. Prescription upload rules
Uploading a prescription is the core action on Script Unlock. Here's what we require:
- Valid prescription required: You must have a current, valid prescription from a licensed prescriber (doctor, NP, PA, etc.). We don't verify prescriptions ourselves — that's the pharmacy's legal obligation at fulfillment — but uploading a fraudulent or altered prescription is grounds for immediate account termination and may be reported to authorities.
- Your prescription only: You may only upload prescriptions issued to you personally. Uploading someone else's prescription is prohibited except where you are the legal guardian of a minor child and applicable law permits it.
- Controlled substances: Prescriptions for Schedule II–V controlled substances undergo additional review before entering the bidding pool. This is required by federal and state pharmacy regulations. Some medications may not be eligible for the platform.
- Image quality: You're responsible for uploading a legible image. If we can't read it, we'll ask you to retake the photo. We'll never modify your prescription image.
- Consent before upload: Before your prescription leaves your device, you must explicitly consent to sharing it with pharmacies. We explain exactly what's shared, with whom, and how to withdraw consent. Details are in our Privacy Policy.
What happens to your prescription image
Your image is encrypted with AES-256-GCM immediately upon upload. It's stored in encrypted form and automatically deleted after 30 days. The pharmacy you select receives a time-limited, single-use link (expires in 60 seconds) to view it — they cannot download or forward the original file.
4. Your responsibilities as a patient
- Accurate information: Provide truthful, complete information. If your prescription details are wrong, the quotes you receive will be wrong too.
- Your healthcare decisions: Script Unlock does not provide medical advice. Whether to take a medication, switch to a generic, or change pharmacies — those are decisions between you and your doctor. We just show you price options.
- Account security: Keep your password secure. Don't share your account. If you suspect unauthorized access, notify us immediately at security@scriptunlock.com.
- One account per person: Don't create multiple accounts to game the system or circumvent restrictions.
- Legal age: You must be at least 18 years old (or the age of majority in your jurisdiction) to use Script Unlock.
5. Pharmacy responsibilities
Pharmacies on our platform agree to additional terms in the Pharmacy Participation Terms. The key obligations include:
- Licensing: Maintain active, verified licenses in every state where they serve patients. We verify NABP credentials and state filings before a pharmacy can bid.
- Honest pricing: Bids must be good-faith estimates. Systematically underbidding to win patients and then charging higher prices at fulfillment is prohibited.
- No off-platform solicitation: Pharmacies may not contact patients outside the platform to solicit business, offer alternative medications, or share marketing materials.
- PHI protection: Pharmacies must protect patient health information under their own HIPAA obligations and our Business Associate Agreement.
- Data deletion: When a patient withdraws consent or the retention period expires, pharmacies must delete the patient's prescription data within 30 days.
- Platform-only communication: All patient communication must happen through Script Unlock's messaging system. This protects both parties and creates an auditable record.
6. Acceptable use — what you can't do
We keep this list short and reasonable. Don't:
Fraud & misrepresentation
- • Submit fake or altered prescriptions
- • Create accounts with false identities
- • Misrepresent your location to access pharmacies you're not eligible for
Platform abuse
- • Scrape, crawl, or bulk-extract data from the platform
- • Use bots or automated tools to submit bids or requests
- • Attempt to reverse-engineer or probe our systems
Harmful behavior
- • Harass, threaten, or abuse other users or our team
- • Interfere with other users' ability to use the platform
- • Attempt to circumvent security controls
Circumvention
- • Contact pharmacies outside the platform for platform-related business
- • Share your account with others
- • Use the platform for any illegal purpose
Violations may result in account suspension or termination. Serious violations (fraudulent prescriptions, HIPAA breaches) may be reported to law enforcement or regulatory agencies.
7. Fees and payment

When you pay a pharmacy through our platform, the payment is processed by Stripe. We never see or store your card number. Platform fees are deducted from the pharmacy's side — your price is the price you see.
8. What we're responsible for — and what we're not
We want to be honest about what we can and can't control:
We ARE responsible for
- ✓ Keeping the platform secure and available
- ✓ Protecting your health data with HIPAA-grade safeguards
- ✓ Verifying that pharmacies are licensed before they can bid
- ✓ Providing accurate, working technology
- ✓ Being transparent about how your data is used
We are NOT responsible for
- ✗ The accuracy of pharmacy bids (pharmacies set their own prices)
- ✗ Medication quality, safety, or effectiveness (that's the pharmacy's domain)
- ✗ Your healthcare decisions — always consult your doctor
- ✗ Pharmacy fulfillment, shipping delays, or stock availability
- ✗ Prescription validity — pharmacies verify prescriptions at dispensing
- ✗ Drug interactions, side effects, or treatment outcomes
No medical advice
Nothing on Script Unlock is medical advice. We don't recommend medications, dosages, or treatment plans. The information we provide is for pricing and logistics only. If you have questions about your prescription, talk to your doctor or pharmacist.
9. Liability limitations
We believe in being upfront about legal limits rather than hiding them in fine print:

| Liability cap | If something goes wrong on our end, our total liability is limited to the greater of (a) fees you've paid us in the last 12 months, or (b) $100. Since patients use the platform for free, this means $100 for most patients. |
| No consequential damages | We're not liable for indirect losses — lost profits, missed savings, or downstream effects of platform issues. This is standard for comparison platforms. |
| "As is" service | We work hard to keep the platform running, but we can't guarantee 100% uptime or that every feature will work perfectly at all times. |
These limitations apply to the maximum extent permitted by law. Some jurisdictions don't allow certain limitations, in which case the broadest permissible limit applies. Nothing in these Terms limits our liability for fraud, gross negligence, or anything that can't be limited by law.
10. Disputes — how we handle disagreements
Step 1: Talk to us first
Before filing anything formal, email legal@scriptunlock.com with a description of the issue. We'll respond within 10 business days and try to resolve it. Most issues can be fixed with a conversation.
Step 2: Mediation
If informal resolution doesn't work, either party can request non-binding mediation. We'll split the mediator's fees 50/50.
Step 3: Binding arbitration
If mediation fails, disputes will be resolved through binding arbitration under the rules of the American Arbitration Association. Arbitration is conducted individually — you agree to waive the right to participate in class actions or class arbitrations.
Important exceptions
- • Small claims: Either party can bring claims in small claims court instead of arbitration.
- • Injunctive relief: Either party can seek emergency injunctive relief in court to prevent irreparable harm.
- • HIPAA complaints: Nothing in these Terms prevents you from filing a HIPAA complaint with HHS. We will never retaliate.
Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Where local consumer protection laws provide greater protections, those apply too.
11. Account termination
You can leave anytime
Delete your account from Account Settings, or email legal@scriptunlock.com. We'll process it within 30 days. Your health data is handled per our retention schedule.
We can remove accounts
We may suspend or terminate accounts that violate these Terms, pose risks to other users, or are required to be removed by law. We'll give you notice when possible and explain why, unless legally prohibited.
12. Changes to these Terms
We may update these Terms as the platform evolves. For material changes — anything that affects your rights, our obligations, or how the platform works — we'll email you at least 30 days before the changes take effect. Minor clarifications don't trigger an email, but the version number and date at the top always reflect the latest version. Continuing to use Script Unlock after changes take effect means you accept the updated Terms.
13. The fine print
- Entire agreement: These Terms, our Privacy Policy, Notice of Privacy Practices, and (for pharmacies) the Pharmacy Participation Terms make up the complete agreement between us.
- Severability: If a court finds any part of these Terms unenforceable, the rest stays in effect.
- No waiver: If we don't enforce something immediately, that doesn't mean we've waived the right to enforce it later.
- Assignment: You can't transfer your account or these Terms to someone else. We can assign ours with notice (e.g., in a merger), and the same protections carry over.
- Force majeure: We're not liable for outages or delays caused by events beyond our control — natural disasters, pandemics, government actions, or internet infrastructure failures.
