Pharmacy Partner Agreement & Licensing Requirements

Pharmacy Eligibility and Representations

Pharmacies participating in Script Unlock represent and warrant that they:

Hold all required pharmacy licences and permits in every jurisdiction where they operate

Comply with all applicable pharmacy laws, including those governing advertising of drug prices

Employ or contract with licensed pharmacists for all dispensing activities

Are not currently under suspension or investigation by any pharmacy regulatory authority

Have implemented appropriate data security measures for handling patient health information

Carry adequate professional liability and general liability insurance

Will maintain compliance throughout the term of the Agreement

Will notify Script Unlock within 48 hours of any licence suspension, revocation, or material regulatory action

Bidding and Pricing Obligations

All bids submitted through the Platform must:

Be accurate and achievable at the time of submission
Include all fees and costs that the patient will be required to pay
Not include misleading conditions or hidden charges
Comply with all applicable laws governing pharmacy price advertising
Be honoured for a minimum of 48 hours from submission (unless the medication becomes unavailable)

Submitting knowingly false pricing information may constitute a violation of consumer protection laws and grounds for immediate termination.

Data Protection and HIPAA (US)

To the extent the Pharmacy receives PHI through the Platform, the Pharmacy agrees to:

Execute the Business Associate Agreement (BAA) appended as Exhibit A
Use PHI only for purposes of fulfilling prescriptions submitted through the Platform
Not use or disclose PHI for marketing, advertising, or sale to third parties
Implement the HIPAA Security Rule safeguards for all ePHI received through the Platform
Report any breach of PHI to Script Unlock within 24 hours of discovery
Comply with applicable state privacy laws in addition to HIPAA

For EU/UK Pharmacies: The Pharmacy must execute the Data Processing Agreement (DPA) appended as Exhibit B and comply with GDPR/UK GDPR for patient data.

Platform Rules and Conduct

The Pharmacy agrees:

Not to contact patients outside the Platform without their explicit consent
Not to submit shill bids, manipulate pricing, or engage in anti-competitive conduct
Not to discriminate against patients based on insurance status, race, national origin, or other protected characteristics
To honour accepted bids regardless of subsequent cost changes (subject to genuine medication unavailability)
To maintain updated profile information including address, hours, and available inventory where possible
To comply with all Platform policies as updated from time to time

Fees and Payment

Script Unlock's current fee schedule is set out at www.scriptunlock.com/pharmacy-fees. Script Unlock reserves the right to adjust fees with 30 days' written notice. The Pharmacy authorises Script Unlock to debit applicable fees from its designated payment account.

Term and Termination

The Agreement commences on the date of registration and continues indefinitely until terminated. Either party may terminate with 30 days' written notice. Script Unlock may terminate immediately for: licence revocation, HIPAA breach, submission of fraudulent data, or material breach not cured within 5 business days of notice.

Limitation of Liability

Script Unlock's maximum aggregate liability to the Pharmacy shall not exceed the total fees paid by the Pharmacy in the 12 months preceding the claim. Neither party shall be liable for consequential, indirect, or punitive damages.

Governing Law

This Agreement is governed by the laws of Delaware, USA (for US pharmacies), England & Wales (for UK/EU pharmacies unless EU law mandates otherwise), and the laws of the applicable province or state for Canadian and Australian pharmacies respectively.
