1. Introduction and Acceptance of Terms

Welcome to Script Unlock ('Company', 'we', 'us', or 'our'). Script Unlock is a prescription price comparison and pharmacy bidding platform that helps patients find competitive pricing on their medications. By accessing or using our website (www.scriptunlock.com), mobile applications, APIs, or any related services (collectively, the 'Platform'), you agree to be bound by these Terms of Service ('Terms').

These Terms constitute a legally binding agreement between you and Script Unlock, Inc. If you do not agree to these Terms, you must not access or use our Platform. Your continued use following any modifications constitutes acceptance of the revised Terms.

These Terms apply globally. Additional jurisdiction-specific terms are set out in Section 19 and supplement (but do not replace) these general Terms.

2. Eligibility and Account Registration

2.1 Age Requirements

You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to create an account or use the Platform. In the United States, users between 13–17 may use limited features with verified parental or guardian consent in accordance with COPPA.

2.2 Account Registration

To access certain features you must register an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to: (a) provide truthful information; (b) maintain and update your information; (c) notify us immediately of any unauthorised access; (d) not share credentials with third parties; (e) not create accounts for others without authorisation.

2.3 Pharmacy Registration

Pharmacies seeking to participate in the bidding marketplace must hold all applicable licences required by their jurisdiction, pass Script Unlock's verification process, execute a Pharmacy Partner Agreement, and maintain compliance with all applicable laws including those governing dispensing, advertising drug prices, and patient data handling.

3. Description of Services

Script Unlock provides: (a) prescription price comparison tools across participating pharmacies; (b) a pharmacy bidding marketplace where verified pharmacies submit competitive pricing in response to patient prescription uploads; (c) medication lookup and savings calculator tools; (d) informational content regarding medications, pharmacy options, and cash-pay strategies; (e) GLP-1 and specialist medication guides.

4. Medical and Healthcare Disclaimer

The information on this Platform is provided for informational purposes only and does not constitute medical advice, diagnosis, or treatment recommendations. Always seek the advice of your physician or other qualified healthcare provider regarding any medical condition or medication. Script Unlock does not verify prescriptions for clinical appropriateness, check for drug interactions, or assess suitability of any medication for any individual. Users must consult qualified healthcare professionals before making decisions about their medications.

5. Prescription Uploads and Bidding Process

5.1 User Obligations

When uploading a prescription you represent and warrant that: (a) the prescription is valid and issued by a licensed prescriber; (b) it is your own prescription or you have legal authority to act on behalf of the patient; (c) you will not upload fraudulent, altered, or fabricated prescriptions. Uploading a fraudulent prescription is a criminal offence in all jurisdictions in which Script Unlock operates.

5.2 Bidding Process

When you submit a prescription for bidding: pharmacies receive a de-identified or limited data set; pharmacies submit price bids; you are not obligated to accept any bid; acceptance of a bid creates a relationship between you and the selected pharmacy only — Script Unlock is not a party to that transaction.

5.3 Fulfilment

Script Unlock does not process payments for prescriptions, guarantee availability of medications, or provide warranties regarding pharmacy service quality. Any disputes regarding fulfilment must be resolved directly with the pharmacy.

6. Intellectual Property

All content, software, databases, algorithms, trademarks, logos, and other materials on the Platform are owned by or licensed to Script Unlock and are protected by United States and international copyright, trademark, patent, and trade secret laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for personal, non-commercial purposes.

7. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose or in violation of applicable laws
• Upload false, fraudulent, or misleading information including prescriptions
• Attempt to gain unauthorised access to any part of the Platform or its systems
• Scrape, crawl, or harvest data from the Platform without written consent
• Interfere with or disrupt the integrity or performance of the Platform
• Use automated tools to submit bids, queries, or requests
• Impersonate any person or entity or misrepresent your affiliation
• Transmit malware, viruses, or other malicious code
• Engage in any conduct that could damage Script Unlock's reputation
• Violate any third party's privacy, intellectual property, or other rights
• Use the Platform for commercial purposes without prior written consent
• Circumvent any geo-restriction or access control measures

8. Privacy and Data Protection

Your use of the Platform is governed by our Privacy Policy, HIPAA Notice of Privacy Practices, and applicable jurisdiction-specific privacy notices (collectively, the 'Privacy Documents'). These documents are incorporated into these Terms by reference. Key data practices:

• Prescription images are encrypted in transit and at rest using AES-256 encryption
• We maintain HIPAA-compliant data handling procedures for US users
• EU/UK users' data is processed in compliance with GDPR and UK GDPR
• Australian users' data is processed in compliance with the Privacy Act 1988
• Canadian users' data is processed in compliance with PIPEDA and provincial laws
• We do not sell personal health information to third parties

9. Third-Party Pharmacies and Partners

Pharmacies and other third-party service providers that participate in the Platform operate independently. Script Unlock does not endorse, warrant, or assume responsibility for any pharmacy's pricing accuracy, medication quality, dispensing practices, or compliance with applicable law.

Any transaction you enter into with a pharmacy is solely between you and that pharmacy. Script Unlock is not liable for any loss, damage, or harm arising from such transactions.

10. Disclaimers and Limitation of Liability

THE PLATFORM AND ALL CONTENT ARE PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCRIPT UNLOCK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING FROM YOUR USE OF THE PLATFORM.

In jurisdictions where the limitation of liability does not apply (including Australian Consumer Law and the EU Consumer Rights Directive), nothing in these Terms limits or excludes any rights or remedies you may have under applicable mandatory consumer protection laws.

11. Indemnification

You agree to indemnify, defend, and hold harmless Script Unlock and its officers, directors, employees, affiliates, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to your violation of these Terms, misuse of the Platform, submission of fraudulent prescriptions, or violation of any third-party rights.

12. Dispute Resolution

12.1 General

We encourage you to contact us first at legal@scriptunlock.com to resolve any disputes informally.

12.2 United States — Arbitration Agreement

For US users, any dispute shall be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules. Class action waiver: YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION.

12.3 European Union and United Kingdom

EU consumers may refer disputes to their national Alternative Dispute Resolution body and may use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

12.4 Australia

Australian users may lodge complaints with the ACCC or the OAIC for privacy-related matters.

12.5 Canada

Canadian users may file complaints with the Office of the Privacy Commissioner of Canada for matters relating to PIPEDA.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles, except where mandatory local consumer protection laws require otherwise.

For EU/UK consumers, nothing in this clause removes the protections of mandatory laws in your country of residence. For Australian consumers, these Terms are subject to the Australian Consumer Law.

14. Termination

We may suspend or terminate your account at any time for any reason, including breach of these Terms, fraudulent activity, or extended inactivity. You may terminate your account at any time by contacting legal@scriptunlock.com or through your account settings.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email and/or a prominent notice on the Platform at least 30 days before taking effect for existing users. Continued use after the effective date constitutes acceptance.

16. Accessibility

Script Unlock is committed to making the Platform accessible. We aim to comply with WCAG 2.1 Level AA guidelines and applicable accessibility laws including the Americans with Disabilities Act (ADA), the EU Web Accessibility Directive, and the Australian Disability Discrimination Act. 17. Export Controls and Sanctions

The Platform may not be used in any jurisdiction subject to comprehensive US sanctions (including Cuba, Iran, North Korea, Syria, and the Crimea region). You represent that you are not on any US government denied-party list.

18. Miscellaneous

Entire Agreement: These Terms, together with the Privacy Documents and any executed Pharmacy Partner Agreement, constitute the entire agreement between you and Script Unlock. Severability: If any provision is found invalid, the remaining provisions continue in full force. Waiver: Failure to enforce any provision is not a waiver. Assignment: You may not assign your rights under these Terms without our written consent.

19. Jurisdiction-Specific Addenda

19.1 European Union

For EU users, we act as a 'data controller' under GDPR (Regulation (EU) 2016/679). You have rights of access, rectification, erasure, restriction, portability, and objection. Supervisory authority complaints may be submitted to your national Data Protection Authority.

19.2 United Kingdom

Processing of UK personal data is governed by UK GDPR and the Data Protection Act 2018. Complaints may be submitted to the Information Commissioner's Office (ICO).

19.3 Canada

Canadian users' personal information is handled in accordance with PIPEDA and, where applicable, provincial privacy legislation (PIPA Alberta, PIPA BC, Quebec Law 25).

19.4 Australia

Australian users' data is governed by the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs). Prescription handling complies with the Therapeutic Goods Act 1989.

19.5 Germany

German operations are subject to the Bundesdatenschutzgesetz (BDSG), the Heilmittelwerbegesetz (HWG) regarding medication advertising, and the Arzneimittelgesetz (AMG). Our German data protection officer contact: datenschutz@scriptunlock.com.

19.6 France

French operations comply with GDPR as implemented by the Loi Informatique et Libertés, the Code de la santé publique regarding pharmaceutical activities, and applicable CNIL guidance.
